JobPilot Terms of Service

Effective date: 10/7/2025

Welcome to JobPilot! These Terms of Service ("Terms") are a legally binding agreement between you and JobPilot, LLC ("JobPilot," "we," "us," or "our") that govern your access to and use of the JobPilot mobile and web applications, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

JobPilot provides business management tools for service businesses, including job scheduling, customer records, invoicing, receipt OCR, analytics, team collaboration, and optional AI/voice features. Certain features integrate with third‑party platforms (e.g., Google, Microsoft, Apple, Supabase, Azure, OpenAI) to enable authentication, email sending, OCR, speech processing, and notifications.

We may add, remove, or modify features at any time. If we make material changes that negatively impact your core use of the Service, we will notify you through the app, by email, or by posting an update to these Terms.

2. Eligibility & Accounts

  1. Minimum age. You must be at least 18 years old to use the Service.
  2. Business use. The Service is intended for commercial use by businesses and their authorized personnel. You are responsible for ensuring that your use complies with applicable laws and industry standards in your jurisdiction.
  3. Account registration. You must provide accurate information and keep it current. You are responsible for any activity on your account and for safeguarding credentials, devices, and OAuth tokens.
  4. Third‑party sign‑in. When you sign in with a third‑party identity provider (e.g., Google or Microsoft), we receive tokens that allow us to authenticate you and, if you grant permission, perform actions (such as sending email) on your behalf. We do not store your third‑party passwords.

3. Subscriptions, Payments & Taxes

  1. Plans. Some features are free; others require a paid subscription (e.g., OCR and voice features). Plan details and prices are shown in‑app or on our website and may change. Any price changes will be communicated in advance and will apply to the next billing cycle.
  2. Billing & renewals. Subscriptions renew automatically until canceled. By subscribing, you authorize us (or our payment processor) to charge your payment method each billing period.
  3. Trials & promotions. If you sign up for a trial, it will convert to a paid plan unless canceled before the trial ends. Promotional terms apply only as stated and may be withdrawn at any time.
  4. Taxes. Prices may exclude applicable taxes; you are responsible for all taxes, duties, and government charges.
  5. Refunds. Unless required by law, fees are non‑refundable. If you believe a charge is in error, contact support within 30 days.

4. Acceptable Use

You agree not to, and not to allow others to:

  1. Violate any law, including anti‑spam laws (e.g., CAN‑SPAM, CASL), telemarketing or robocall laws (e.g., TCPA), consumer protection laws, or privacy regulations.
  2. Send deceptive, fraudulent, or unsolicited communications; impersonate others; or misrepresent your identity or affiliation.
  3. Upload, post, transmit, or store content that is illegal, harmful, infringing, or that contains malware or exploits.
  4. Reverse engineer, probe, or circumvent any security or access control; interfere with the Service's operation or other users' use.
  5. Use the Service for high‑risk activities where failure could lead to death, personal injury, or environmental damage.
  6. Exceed reasonable usage limits, scrape the Service, or use automated means without our prior written consent.

We may suspend or terminate accounts for violations or suspected abuse.

5. Your Content & License

  1. Your content. You retain all rights to content you upload or generate using the Service (e.g., customer data, job details, photos, invoices, emails). You are solely responsible for your content and for obtaining all necessary consents from your customers and recipients.
  2. License to operate the Service. You grant JobPilot a worldwide, non‑exclusive, royalty‑free license to host, process, transmit, display, and create derivative works of your content only as necessary to provide, secure, and improve the Service (including quality, analytics, and troubleshooting).
  3. Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.

6. Data Privacy, Security & AI

  1. Privacy Policy. Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you agree to that policy.
  2. Security. We implement reasonable technical and organizational measures designed to protect your data. No method of transmission or storage is 100% secure; you use the Service at your own risk.
  3. Data retention & deletion. We retain data as needed to provide the Service and comply with legal obligations. You may request deletion of certain data through in‑app settings or by contacting support; deletion requests may be limited by law or our legitimate business needs.
  4. AI processing. Some features (e.g., speech‑to‑text, voice responses, command interpretation, receipt OCR) use third‑party AI services. Your content may be transmitted to those providers for processing solely to deliver the requested feature. We contractually or programmatically restrict such providers from using your data to train their general models unless you opt in or the provider's policy states otherwise and you have agreed to it.
  5. Model outputs. AI outputs can be incorrect or incomplete. You are responsible for reviewing results (e.g., line items, totals, OCR extractions) before acting on them.

7. Email & Communications (Sending on Your Behalf)

  1. OAuth and scopes. If you connect a Google Workspace/Gmail or Microsoft 365/Outlook account, you authorize JobPilot to send emails on your behalf and to access limited account information through OAuth tokens and scopes you approve. We do not store your email password and do not access your inbox content unless you expressly grant a scope that requires such access.
  2. Custom domains. If you send from a custom domain, you are responsible for DNS configuration (e.g., SPF, DKIM, DMARC) and for satisfying your provider's sending policies and rate limits. We may provide guidance but do not control deliverability.
  3. Compliance. You must comply with anti‑spam laws and honor opt‑out requests. You represent that you have consent to contact your recipients and that your messages are accurate and not misleading.
  4. Responsibility for content. You control the content and recipients of your communications. JobPilot is a platform provider and does not originate messages without your direction.

8. Third‑Party Services

The Service may depend on or integrate with third‑party services (e.g., identity providers, cloud infrastructure, payment processors, AI/OCR services). Your use of such services may be subject to their terms and privacy policies. We are not responsible for third‑party services and do not guarantee their availability or performance.

9. Service Changes; Beta & Pre‑release Features

From time to time, we may offer beta, preview, or experimental features. Such features are provided "as is," may be subject to additional terms, and may be discontinued at any time. Your feedback helps us improve the Service.

10. Intellectual Property

We and our licensors own all right, title, and interest in and to the Service, including software, interfaces, templates, and branding, excluding your content. These Terms do not grant you any rights to our trademarks or other brand features.

11. Term; Suspension; Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, use the Service in a way that may cause harm or liability, or if we stop offering the Service. Upon termination, your right to use the Service ends, but sections intended to survive (e.g., payments due, IP, disclaimers, limitations of liability, indemnities) will continue. We may provide a limited window to export your content where practical.

12. Warranties & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT DATA LOSS WILL NOT OCCUR.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JOBPILOT NOR ITS AFFILIATES, SUPPLIERS, OR PARTNERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO JOBPILOT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; those limitations may not apply to you solely to the extent prohibited by law.

14. Indemnification

You will defend, indemnify, and hold harmless JobPilot and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content or communications; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or third‑party rights.

15. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms and updating the effective date, and, where required, by additional notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Export & Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargoes or sanctions, and that you are not on any restricted party list. You agree to comply with applicable export control and sanctions laws.

17. U.S. Government Rights

If you are a U.S. government end user, the Service and related documentation are "commercial computer software" and "commercial computer software documentation" provided with only the rights set forth in these Terms.

18. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you and JobPilot consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Arbitration (Optional). If JobPilot elects, disputes may be resolved by binding arbitration administered by a recognized arbitration provider. If applicable, details will be provided at the time of election.

19. DMCA & IP Concerns

If you believe content on the Service infringes your intellectual property rights, please send a notice to legal@jobpilot.com with: (a) your contact information; (b) a description of the work you claim is infringed; (c) a URL or description of the allegedly infringing content; (d) a statement under penalty of perjury that you have a good‑faith belief the use is not authorized; and (e) your signature. We may remove or disable access to the content and notify the user who posted it.

Platform‑Specific Terms

Apple App Store

If you downloaded the mobile app from the Apple App Store, you acknowledge that Apple is not responsible for providing any maintenance or support and has no warranty obligation with respect to the app. To the maximum extent permitted by law, Apple will have no liability for any claims related to the app. You agree to comply with applicable App Store Terms.

Google Play

If you downloaded the mobile app from Google Play, you agree to comply with the Google Play Terms of Service and policies.

Microsoft Store

If you use any Microsoft‑integrated features, you agree to comply with Microsoft's applicable terms.

Data Processing Addendum (DPA) (Summary)

If you are subject to data protection laws (e.g., GDPR, CCPA), and you use the Service to process personal data as a controller, we act as a processor/service provider on your behalf. Upon request, we can provide a DPA governing processing, sub‑processors, transfers, and security measures consistent with applicable law. Sub‑processors currently include hosting, authentication, analytics, and AI/OCR providers used to deliver the Service. We will maintain an updated list of sub‑processors upon request.

By using JobPilot, you acknowledge that you have read and agree to these Terms.
